Terms of Use

Review note. These terms are a template prepared for Steaded, LLC and are not legal advice — have counsel review them before relying on them. Governing law: Delaware. Formal DMCA safe-harbor (a Designated Agent registered with the U.S. Copyright Office) is planned; until then, copyright concerns are handled by email as described below.

These Terms of Use (“Terms”) govern your access to and use of the Steaded Ground website (steaded.ai), the public demo and product (steaded.app), and related services (collectively, the “Service”), provided by Steaded, LLC (“Steaded,” “we,” “us”). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.


§ 01 · ACCEPTANCE & THE SERVICE

1. Acceptance & changes

By using the Service you accept these Terms and our Privacy Policy. We may update these Terms from time to time; the “Last updated” date reflects the latest version, and your continued use after changes take effect constitutes acceptance. A separate written agreement (e.g., an order form or subscription agreement) will control if it conflicts with these Terms.

2. The Service

Steaded Ground is the Original Accountable Architecture — one platform where operations and AI run as the same audited, permissioned work. The public demo at steaded.app is a shared, seeded playground for evaluation and is not intended for real or sensitive data. A dedicated client instance is provided under a separate agreement. We may modify, suspend, or discontinue parts of the Service at any time.

3. Eligibility & accounts

You must be at least 18 and able to form a binding contract. You are responsible for your account credentials and for all activity under your account, and you agree to notify us promptly of any unauthorized use. Administrators of an instance are responsible for the users they provision and the access they grant.

§ 02 · ACCEPTABLE USE & YOUR CONTENT

4. Acceptable use

You agree not to:

  • Use the Service unlawfully or in violation of these Terms or any third party’s rights.
  • Upload or transmit malware, or attempt to breach, probe, or disrupt the Service or its security.
  • Reverse engineer, scrape, or copy the Service except as permitted by law.
  • Misuse AI features, attempt to exceed your permissions, or use the Service to generate unlawful or infringing content.
  • Resell or provide the Service to third parties except as expressly authorized.

5. User-generated content & liability

The Service lets you and your users submit, upload, and store content — records, documents, messages, configurations, and other materials (“User Content”). As between you and Steaded:

  • You own your User Content. We do not claim ownership of it.
  • You grant us a limited license to host, store, process, transmit, and display your User Content solely to operate and provide the Service to you (and, for an instance, to the customer that controls it).
  • You are solely responsible for your User Content and represent and warrant that you own it or have all rights and permissions needed to submit it, and that it does not infringe, violate privacy, or otherwise break the law.
  • We are not responsible for User Content. User Content does not represent our views; we do not pre-screen it and are not liable for it. We may, but are not obligated to, review, remove, or disable access to content that we believe violates these Terms or the law.

Plain-language summary. What you put into Steaded Ground is yours and is your responsibility. You promise you have the right to use it, you won’t put in anything unlawful or infringing, and Steaded isn’t liable for the content users add — though we can remove content that breaks these Terms.

§ 03 · COPYRIGHT & INTELLECTUAL PROPERTY

6. DMCA copyright policy

Steaded respects intellectual-property rights and responds to clear notices of alleged copyright infringement under the U.S. Digital Millennium Copyright Act (“DMCA”). We may remove or disable access to material claimed to be infringing and may terminate, in appropriate circumstances, the access of repeat infringers.

Filing a takedown notice

If you believe content on the Service infringes your copyright, email the details to admin@steaded.ai (put “Copyright” in the subject) including:

How we handle it

We review copyright concerns sent to admin@steaded.ai and, where appropriate, remove or disable the material and act against repeat infringers. As the platform grows we expect to register a formal DMCA Designated Agent with the U.S. Copyright Office and publish the agent’s details here.

Counter-notification

If your material was removed and you believe this was a mistake or misidentification, you may email a counter-notice to admin@steaded.ai including: your signature; identification of the removed material and its prior location; a statement under penalty of perjury that you have a good-faith belief it was removed by mistake or misidentification; your contact information; and your consent to the jurisdiction of the federal court for your district (or, if outside the U.S., the district where we are located) and acceptance of service of process from the complaining party.

Knowingly making a material misrepresentation in a notice or counter-notice can result in liability under 17 U.S.C. § 512(f).

7. Our intellectual property

The Service, including its software, design, text, graphics, the Steaded name and logo, and “Original Accountable Architecture,” are owned by Steaded, LLC or its licensors and are protected by intellectual-property laws (patent pending). Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service. “BPMN 3.0” is our own term for a concept; BPMN is a standard maintained by the Object Management Group. No rights are granted except as expressly stated.

§ 04 · THIRD PARTIES, DISCLAIMERS & LIABILITY

8. Third-party services

The Service relies on third-party providers (listed on our Trust & Infrastructure page) and may link to third-party sites. We are not responsible for third-party services or content, and your use of them may be subject to their own terms.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. THE DEMO IS PROVIDED FOR EVALUATION ONLY.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STEADED, LLC AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

11. Indemnification

You agree to indemnify and hold harmless Steaded, LLC and its affiliates from claims, damages, and expenses (including reasonable legal fees) arising out of your User Content, your use of the Service, or your violation of these Terms or applicable law.

§ 05 · GOVERNING LAW & TERMINATION

12. Governing law & disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, and the state and federal courts located in Delaware will have exclusive jurisdiction, except where prohibited by law. If any provision is found unenforceable, the remaining provisions remain in effect.

13. Termination

We may suspend or terminate access to the Service at any time if you violate these Terms or to protect the Service. You may stop using the Service at any time. Sections that by their nature should survive (including content ownership, IP, disclaimers, limitation of liability, and indemnification) survive termination.
